Technology Use EU – Japan
Representation of an EU-based company on permitting a Japanese Corporation on usage of proprietary technology. Drafting and negotiating the contractual model allowing the counterparty to use the technology without disclosing client’s core know-how.
Poland – Investment Project
Advising an investor on cross-border share transfer transaction involving a Polish company in an infrastructure project. Our work includes legal due diligence, structuring of the investment model, and coordination of the transaction’s corporate aspects. Drafting the transaction documentation, ensuring compliance with Polish corporate and investment law, and overseeing the legal execution of the project.
Legal framework for a supply chain from the EU to the Middle East
Assisting an EU based client in developing a distribution model for Made in EU-Products to its customer, based in a Middle East state. Preparation and negotiation of the legal framework for product distribution, and supply, and for special requirements for product development.
Kazakhstan – Corporate Restructuring
Support for EU based client in the corporate reorganization of its Kazakh subsidiary. Preparing all documentation required and coordinating related corporate actions between the client and its subsidiary. Coordinating and overseeing the drafting of the director’s employment contract, advising on governance issues, and supporting the restructuring process with regard to local and cross-border legal requirements.
German – Swiss – Austrian Corporate Structure
Corporate coordination for an EU-based client with a swiss subsidiary with the objective of closing its Austrian branch office and to establish an Austrian subsidiary instead. The project involves many legal fields, f.e. corporate law in Switzerland and Austria, labor law for the Branch Office and the subsidiary as well as tax issues
Ukraine – Infrastructure Development
Advising on large-scale freight infrastructure projects in Ukraine. Developing a legal framework for a consortium structure and governance model. Coordination of due diligence of project participants in compliance with EU law and preparation of agreements to establish the consortium.
